Working in our Shrewsbury office, we are looking to recruit an experienced Legal Executive /Â Paralegal to join our busy Corporate Company Secretarial team to assist with legal work in relation to our clients.
The successful candidate will need to have a strong background and experience in company law and will be working alongside the firm’s Corporate Company Secretary and Corporate Company Secretarial Assistant, as well as the Directors and Client Managers, to deliver those services to our clients.
Key responsibilities within the role:
- Advising on company law implications for client companies in relation to share allotments; transferring shares; creating new shares; reclassifying or converting shares; subdivision / consolidation of shares; redeeming shares; purchase of own shares; share-for-share exchange; share capital reduction or cancellation of shares; voluntary striking-off of a company.
- Advising on Articles of Association and updating the Articles as and when required.
- Advise of company incorporations and see through to the formation of the company.
- Drafting legal documents, including Board Minutes / Resolutions; Members Resolutions / Companies House documents; Share Certificates.
- Maintaining statutory records and the electronic company secretarial software, including the Appointment / Removal of Directors; Appointment / Removal of Company Secretary; Change of Registered Office Address; Change of Company Name; Change of Accounts Reference Date; Voluntary Striking-Off of a Company and Full or Partial Satisfaction of a Registered Charge at Companies House.
- Liaising with and working alongside external law firms as and when required to do so.
- Responsible for the on boarding of clients and ensuring all regulatory, legislative and compliance responsibilities are maintained.
- Supporting with the preparation and filing of the annual Confirmation Statements.
- Responsible for all aspects of Corporate Company Secretary engagement letters.
- Responsible for reviewing billing and liaising with colleagues prior to issuing fee notes.
- Supporting with the firm’s annual filing of ERS returns and identifying reportable transactions.
The candidate:
- Qualified Legal Executive / Paralegal with a minimum of 2 years’ experience.
- Capable of managing own workload.
- High level of technical skills and commercial awareness.
- Attention to detail and strong drafting skills.
- Excellent communication (verbal / written) and interpersonal skills.
- Strong organisational skills.
- Proactive with an ability to multi-task and prioritise.
- Friendly and professional demeanour with a positive attitude.
- Desire and confidence to challenge and identify areas of continuous improvement.
